ACCOUNT SUB AI – END USER LICENSE AGREEMENT (EULA)

1. LICENSE GRANT

Subject to your compliance with this Agreement and payment of applicable fees, AccountSub AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own business or personal social media management. No rights are granted to you other than those explicitly provided in this Agreement.

2. DESCRIPTION OF SERVICES

AccountSub AI provides tools that automate or assist with: Social media posting, commenting on posts by others, replying to comments, drafting or generating AI-powered content, scheduling or analyzing engagement, and other social media automation features.

You acknowledge that: AccountSub AI uses machine-learning models that may generate content automatically. Generated content may contain inaccuracies, inappropriate language, errors, or unintended statements. You are solely responsible for reviewing all generated content and ensuring it complies with the policies of the platform on which it is posted.

3. USER RESPONSIBILITIES

You agree that: You are solely responsible for your social media accounts and for ensuring your use of automation complies with Instagram, LinkedIn, Facebook, TikTok, Twitter/X, YouTube, and any other platform's Terms of Service. You will review, monitor, and approve any AI-generated posts, comments, or replies before they are published. You are solely responsible for any misposting, miscommenting, misreplying, including accidental or undesirable outputs generated by AI. You are solely responsible for maintaining credentials and granting AccountSub AI limited permission to use APIs or login tokens when required.

4. DISCLAIMERS ABOUT AI-GENERATED CONTENT

You explicitly acknowledge and agree that: AI-generated content may be incomplete, inaccurate, offensive, misleading, or inconsistent with your brand voice. AccountSub AI does not guarantee the factual accuracy, tone, legality, safety, or appropriateness of any AI-generated content. You assume full responsibility for any consequences arising from publishing or relying on AI-generated outputs. AccountSub AI is not liable for any content generated, posted, commented, or replied to on your behalf by the system.

5. RISKS OF ACCOUNT ACTIONS BY SOCIAL MEDIA PLATFORMS

You acknowledge and agree that: Social media platforms may restrict, suspend, shadow-ban, block, or permanently disable accounts that use automation tools or violate their automation policies. These actions are solely controlled by the third-party platforms. AccountSub AI has no control over and accepts no responsibility for any action taken by Instagram, LinkedIn, Meta, TikTok, Twitter/X, YouTube, or any other platform.

Therefore: AccountSub AI is not liable for: Account suspension, restriction, or deletion; Loss of followers, reach, engagement, or visibility; Temporary or permanent account limitations; API access revocation; Any penalties imposed due to automation use. You use AccountSub AI at your own risk, and you are solely responsible for understanding and complying with all relevant platform rules.

6. ACCEPTABLE USE

You agree NOT to use the Services for: Spam, harassment, or abusive behavior; False, misleading, or deceptive content; Illegal activities; Violations of third-party platform rules; Posting private, confidential, or proprietary information; Automating actions beyond what is permitted by platform policies. Violations may result in immediate termination of your access.

7. INTELLECTUAL PROPERTY

All rights, title, and interest in the Services—including software, algorithms, AI models, branding, UI/UX, and documentation—belong exclusively to AccountSub AI. You may not: Reverse engineer, copy, modify, resell, lease, or create derivative works of any part of the Services.

8. DATA OWNERSHIP

You retain ownership of: Your social media content, your account credentials, any data you upload. AccountSub AI retains ownership of: AI models, generated outputs (to the extent allowable by law), operational data, system analytics.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW: AccountSub AI is not liable for: Any automated content that is inaccurate, offensive, or damaging; Any misposting, miscommenting, or misreplying; Loss, suspension, or deletion of social media accounts; Business losses, lost revenue, lost followers, or reputational harm; Any platform-imposed penalties; API interruptions or service outages; Any indirect, incidental, punitive, or consequential damages.

IN NO EVENT SHALL ACCOUNT SUB AI'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID IN THE PREVIOUS 30 DAYS OF SERVICE USE.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AccountSub AI from all claims, damages, losses, liabilities, and expenses arising out of: Your use of the Services; AI-generated outputs posted under your account; Violations of third-party platform rules; Your infringement of any rights of others.

11. TERMINATION

AccountSub AI may terminate or suspend your access at any time for: Violations of this Agreement; Attempts to misuse the system; Abuse of resources; Legal compliance requirements. Upon termination, you must immediately stop using the Services.

12. NO WARRANTY

The Services are provided "AS IS" and "AS AVAILABLE." AccountSub AI makes no warranties, express or implied, regarding: Accuracy, uptime, compatibility, content quality, platform compliance, safety or security, fitness for a particular purpose. You use the Services at your own risk.

13. MODIFICATIONS

AccountSub AI may update or revise this Agreement at any time. Continued use after changes constitutes acceptance of the new terms.

14. GOVERNING LAW

This Agreement is governed by the laws of the applicable jurisdiction, without regard to conflicts of law. Any disputes must be resolved in a court of competent jurisdiction.
